These Terms of Service (“Terms”) govern your use of the services provided by AtrioSolutions LLC (“AtrioMail”, “we”, “our”, “us”) through atriomail.com, system.atriomail.com, and any other subdomains operated by AtrioSolutions LLC (collectively, the “Services”).
By registering for or using our Services, you agree to be bound by these Terms, as well as our Privacy Policy, Acceptable Use Policy (AUP), Refund Policy, Cookie Policy, and Data Processing Agreement (DPA). If you do not agree, you must not use our Services.
AtrioSolutions LLC is incorporated in Delaware, United States, with its registered office at 131 Continental Dr, Suite 305, Newark, DE 19713, United States.
1. Eligibility
- Our Services are intended for business use only (B2B).
- By using our Services, you confirm that you are at least 18 years of age and have authority to enter into agreements on behalf of your business.
2. Accounts and Registration
- To use the Services, you must create an account at system.atriomail.com.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately of any unauthorized access to your account.
3. Billing and Payment
- Services are billed on a monthly cycle.
- At registration, you are charged for one email account.
- During the billing cycle, you may add or delete accounts.
- At the end of each cycle, we calculate all active accounts and services and charge accordingly.
- All payments are processed through Stripe.
- All charges are non-refundable, except in cases of duplicate charges or proven fraud (see our Refund Policy).
- Services automatically renew each month unless canceled before the next billing date.
4. Cancellation and Data Deletion
- You may cancel your account at any time via the AtrioMail dashboard.
- Upon cancellation, all data is permanently deleted immediately and cannot be recovered.
- We are not responsible for any data loss after cancellation.
5. Acceptable Use
- You must comply with our Acceptable Use Policy (AUP) at all times.
- Prohibited activities include but are not limited to spam, phishing, malware, illegal activity, and abuse of infrastructure.
- We may monitor usage to ensure compliance.
6. Right to Refuse Service
- AtrioSolutions LLC reserves the right to refuse, suspend, or terminate service at our sole discretion, without prior notice, if we believe that your use of the Services:
- violates these Terms or our policies,
- violates applicable laws,
- poses a risk to our infrastructure, security, or reputation,
- or may negatively affect other customers.
7. Intellectual Property
- AtrioSolutions LLC retains all rights, title, and interest in the Services, including software, designs, and branding.
- You may not copy, modify, reverse-engineer, or resell our Services unless expressly permitted as a reseller.
8. Data Protection and Privacy
- Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement (DPA).
- You remain the Data Controller of your end users’ personal data.
- We act as a Data Processor and will process data only on your instructions.
9. Service Availability
- While we aim to provide reliable Services, we do not guarantee uninterrupted or error-free operation.
- We may perform maintenance, updates, or modifications that may temporarily affect availability.
10. Limitation of Liability
- To the maximum extent permitted by law, AtrioSolutions LLC shall not be liable for:
- indirect, incidental, or consequential damages,
- loss of profits, revenues, data, or goodwill,
- service interruptions or delays.
- Our total liability for any claim shall not exceed the amount you paid to us in the 30 days preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless AtrioSolutions LLC from any claims, damages, or expenses arising from your use of the Services, including violations of these Terms or applicable laws.
12. Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of Delaware, United States.
- For EU customers, we comply with GDPR in relation to the processing of personal data.
13. Changes to the Terms
- We may update these Terms from time to time.
- Changes will be posted on our website with an updated “Last updated” date.
- Continued use of the Services after changes constitutes acceptance of the revised Terms.
